Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the CloudGallery website, application, and related services (the "Service"). By accessing or using the Service, you agree that you have read and understood these Terms and are legally bound by them. If you do not agree, you may not access or use the Service.

2. Service Description

CloudGallery is a SaaS workflow management platform for artists and galleries. The Service provides artwork inventory management, AI-powered image analysis and enhancement, exhibition management, contact management (CRM), and related productivity tools. CloudGallery is operated by Enable Inc. (주식회사 이네이블), business registration number 377-86-04287.

3. NOT a Sales Intermediary

CloudGallery is a software-as-a-service workflow tool. CloudGallery does NOT operate as a marketplace, intermediary, broker, escrow agent, or payment processor for the sale of artwork or any other goods. The Service does not facilitate, process, or intermediate sales transactions between users, or between users and third parties. Any transactions related to artwork sales, commissions, consignments, or gallery-artist arrangements are conducted entirely outside the platform and are the sole responsibility of the parties involved. CloudGallery is not a party to such transactions and bears no responsibility or liability for them. E-commerce consumer protection provisions regarding intermediary obligations do not apply to CloudGallery because the Service does not intermediate sales.

4. Membership and Accounts

4.1 Registration. You may register for an account by providing your email address and creating a password. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. 4.2 Account Types. Accounts are created under a gallery or solo artist workspace. Roles within each workspace include owner, admin, artist, staff, and viewer, each with different access levels. 4.3 Accurate Information. You agree to provide accurate and complete information during registration and to keep your information updated.

5. Trial Service

5.1 Free Trial. New accounts receive a one-month free trial with access to all features. No credit card is required during the trial period. 5.2 Trial Expiration. Upon expiration of the trial period, the account will be converted to a limited free tier. We will notify you before your trial expires. 5.3 Trial Modifications. We reserve the right to modify trial duration, features, and terms at any time.

6. Subscription and Payment

6.1 Subscription Tiers. Paid subscription tiers (Artist and Gallery) will be introduced with pricing announced upon integration of Korean payment processing. Until then, the Service is available as a free trial only. 6.2 Payment Processing. When paid tiers are introduced, payments will be processed through licensed Korean payment processors. By subscribing, you authorize recurring billing through the selected payment method. 6.3 Cancellation. You may cancel your subscription at any time through account settings. Cancellation prevents future billing and access continues until the end of the current billing period. 6.4 Refunds. Once a billing period begins, all payments are final and non-refundable, except as required by applicable law.

7. Service Availability

The Service is provided on a best-effort basis. We do not guarantee uninterrupted, error-free, or continuous access. The Service may be temporarily unavailable due to scheduled maintenance, software updates, infrastructure upgrades, or emergency situations. We will make reasonable efforts to notify users of scheduled maintenance in advance.

8. User Responsibility

You agree not to: (a) copy, redistribute, or commercially exploit Service content without authorization; (b) use automated means to extract data beyond documented API limits; (c) attempt to reverse-engineer, decompile, or derive the Service's underlying algorithms; (d) interfere with security controls or access restrictions; (e) share account credentials with third parties; (f) use the Service in violation of any applicable laws.

9. Intellectual Property

All content, software, layouts, trademarks, and methodology provided through the Service are the property of Enable Inc. or its licensors. You retain ownership of artwork and content you upload to the Service. By uploading content, you grant the Service a limited license to process, store, and display your content for the purpose of providing the Service to you.

10. Limitation of Liability

To the maximum extent permitted by law, Enable Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of or inability to use the Service. The aggregate liability of Enable Inc. shall not exceed the total fees paid by you in the six months preceding the claim.

11. Amendment of Terms

We may modify these Terms at any time. The most current version will always be available on this page. Material changes will be notified at least 7 days in advance. Continued use of the Service after changes take effect constitutes acceptance of the modified Terms.

12. Termination

We may suspend or terminate your access to the Service for violation of these Terms or for harmful or unlawful conduct. Upon termination, provisions that by their nature should survive termination (including Sections 3, 9, 10) shall remain in effect.

13. Governing Law

These Terms are governed by the laws of the Republic of Korea. Any disputes arising from these Terms shall be resolved in the competent courts of the Republic of Korea.
